These Terms of Service (“Terms”) govern access to and use of BracketFlow. By creating an account or otherwise using the service, an Organization and its Organizers agree to these Terms. Terms specific to how we handle personal information are in our Privacy Policy, which is incorporated by reference.
01Acceptance of terms
By signing up for or using BracketFlow, you agree to these Terms on behalf of yourself and, if you are creating an account for an organization, on behalf of that Organization. If you do not agree, do not use the service.
02The service
BracketFlow lets an Organization build Forms, publish them for the public to fill out, and optionally generate a signed PDF document, email it, route it to Google Drive, or collect payment for each Submission — all opt-in per Form. BracketFlow also includes tournament and league management capabilities (brackets, schedules, rosters, and public event pages) that are built into the platform and may be enabled for an Organization’s account over time; these Terms apply to those features as well, whether or not they are enabled on your account today.
03Accounts & eligibility
You must be at least 18 years old to create an Organizer account. BracketFlow is a tool for organizations, not a public consumer service for individual registrants — Submitters and Participants use Forms without creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
04Organization responsibilities
As described in our Privacy Policy, the Organization is the party legally responsible for the Submission and Participant data it collects through its Forms. By using BracketFlow, an Organization represents and agrees that it will:
- Provide its own registrants with any notice required by law about how their information will be used;
- Obtain any consent required before collecting personal information through a Form, including a parent or legal guardian’s consent when a Participant is a minor;
- Comply with all laws applicable to its use of the service, including children’s privacy laws where its Forms involve minors; and
- Only use Submission and Participant data for the purposes it discloses to its own registrants.
BracketFlow is not a party to, and is not responsible for, the relationship between an Organization and the people who submit its Forms.
05Data processing terms
For Submission and Participant data, BracketFlow acts solely as a processor on the Organization’s instructions (see Section 2 of our Privacy Policy). BracketFlow will: (a) process that data only to provide the service and as the Organization directs; (b) maintain reasonable technical and organizational security measures around it; (c) use the sub-processors listed in our Privacy Policy’s Section 5 to deliver the service, and not add a materially different category of sub-processor without updating that section; and (d) provide reasonable assistance to an Organization responding to a data subject request concerning data it processed on that Organization’s behalf. An Organization that requires a separate, signed data processing agreement for its own compliance purposes may request one at the contact in Section 18.
06Payments & billing
BracketFlow subscription. Paid plans are billed on a recurring basis. There is no free trial unless one is expressly offered at sign-up. You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide prorated or partial refunds for unused time.
Payments collected through a Form. When a Form collects payment from a Submitter, that payment is processed by Stripe and deposited directly into the Organization’s own connected Stripe account — BracketFlow never holds those funds and takes no platform fee on them. BracketFlow is not a party to that transaction. Refunds, disputes, and chargebacks relating to a payment collected through an Organization’s Form are between the Organization and the Submitter (and Stripe), not BracketFlow.
07Acceptable use
You agree not to use BracketFlow to:
- Violate any law, or the privacy or other rights of any person;
- Upload or collect content that is unlawful, fraudulent, or infringes someone else’s intellectual property;
- Attempt to gain unauthorized access to the service or another Organization’s data; or
- Interfere with or disrupt the integrity or performance of the service.
08Intellectual property
An Organization owns the content of the Forms it builds and the Submission data it collects. By using the service, the Organization grants BracketFlow a limited license to host, process, and display that content solely to provide the service. BracketFlow owns the BracketFlow platform, software, and brand, and no rights to them are granted except the limited right to use the service under these Terms.
09AI-assisted features
Optional AI-assisted form generation is provided for convenience and may produce inaccurate or incomplete drafts. An Organizer is responsible for reviewing and correcting any AI-generated Form before publishing it, and BracketFlow is not responsible for content an Organizer publishes without review.
10Third-party services
The service integrates with third-party services, including Stripe and Google Drive, that an Organization may choose to connect. Those services have their own terms and privacy practices, and BracketFlow is not responsible for their availability, performance, or conduct.
By connecting a third-party account such as Google Drive, the Organization confirms it is authorized to do so and to have BracketFlow store files there on its behalf. Once a file has been delivered to a connected account, its access, security, and retention are governed by that account and the Organization’s settings with the provider, not by BracketFlow. Organizations are responsible for who can access the Drive or folders they connect, particularly where files contain minors’ or other sensitive information.
11Termination
You may stop using the service and delete your account at any time. We may suspend or terminate an account that violates these Terms or poses a security risk to the service or other Organizations, with notice where reasonably practicable.
12Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
13Limitation of liability
To the maximum extent permitted by law, BracketFlow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from use of the service. BracketFlow’s total liability for any claim relating to the service will not exceed the amount the Organization paid BracketFlow in the twelve months preceding the claim.
14Indemnification
An Organization agrees to indemnify and hold BracketFlow harmless from claims arising out of its use of the service, its Forms, or its failure to meet its responsibilities under Section 4, including claims relating to Submission or Participant data it collected.
15Governing law & arbitration
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
Agreement to arbitrate. Any dispute arising out of or relating to these Terms or the service will be resolved by binding arbitration administered under the American Arbitration Association’s consumer arbitration rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. Arbitration will take place in, or be administered from, Utah.
Class action waiver. Disputes will be resolved only on an individual basis, and not as a class, consolidated, or representative action.
Opt-out. You may opt out of this arbitration agreement by sending written notice to the contact in Section 18 within 30 days of first agreeing to these Terms; if you opt out, disputes will be resolved in the state or federal courts located in Utah, and both parties consent to that venue.
16Changes to these terms
We may update these Terms from time to time. If we make a material change, we will update the “Last updated” date above and notify Organizer account holders by email. Continued use of the service after a change takes effect constitutes acceptance of the updated Terms.
17General provisions
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, are the entire agreement between you and BracketFlow regarding the service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
